Cerebria Terms of Service

Agreement

These Terms of Service apply to registered users ("Users") who access or use the Cerebria Services (described below). These Terms of Service set out the rights and the obligations of all users regarding the use of the Service.

Your use of our Services is also subject to our Privacy Notice which describes how we collect, use, share, and store your personal information.

By accessing or using our Services, you confirm that you accept these Terms of Service, and that you agree to comply with them. If you do not agree to these Terms of Service, you must not use our Service.

About Our Service

Security

We implement industry standard security safeguards designed to protect your data. We operate systems to improve our ability to detect incidents, threats or vulnerabilities that may harm the security of our Services. If we learn of activity like this, we will take appropriate action such as removing that activity or contacting law enforcement. In the rare event of any reportable data breach, we will notify you as soon as possible and in accordance with regulatory requirements.

We work to protect the security, safety and integrity of our Services by appropriately dealing with abusive persons and activity violating our Terms.

Definitions

"Confidential Information" means all confidential personal data and non-public data, and other information related to the Services, including but not limited to software, product information, and any other information that would be reasonably be regarded as confidential or proprietary.

"Input" means any data, text, prompts, annotations, feedback or other content you submit to the Tutor.

"Output(s)" means any content, data, answers, explanations, diagrams, images, code, other material generated by or through the Tutor, including derivative works.

"Services" means the Cerebria AI Tutor web application (the "Tutor"), dashboards and content provided by Cerebria.

"Tutor Content" means all Outputs and other content provided by Cerebria.

"User" ("you") means any individual or entity that registers for, accesses, or uses the Services. If the User is an entity, the term User shall include the entity, and all of the entities' affiliates, employees, representatives, contractors and users of the Services. The agreement by an employee, consultant or contractor acting on behalf of an entity to these terms will be deemed to be the agreement of that entity. Any such employee, consultant or contractor hereby represents and warrants that he/she or it has authority, or has been provided authority, to bind the entity to this agreement.

Obligations

Service Eligibility

You may not receive the Service from us if you:

  • are under the age of 18;
  • have previously been banned from using our Service for a breach of these Terms; or
  • are otherwise prohibited from receiving our Service under applicable laws.

Your Account

You agree that you will:

  • use a strong password for your account and keep it confidential;
  • never share or allow others to access any part of your account. You must notify us promptly of any unauthorised use or security breach of your account or our Service;
  • not violate the Acceptable Use Policy (below).

Rights and Limits

User Inputs & Licence to Cerebria

Ownership

To the extent permitted by applicable law and as between you and Cerebria, you retain ownership rights to the Input.

Licence

You hereby grant Cerebria a nonexclusive, worldwide, royalty free, sublicensable, transferable licence to host, store, reproduce, process, adapt, publish, translate, distribute, perform, display, and otherwise use your Inputs for the purpose of operating, improving, and providing the Tutor, including to develop and improve underlying models and features.

Representations

You are responsible for content of the Inputs, including ensuring that it does not violate any applicable law, third-party rights or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

Content of Inputs

When you submit inputs, you acknowledge and agree that:

  • any input that is subject to moderation under these Terms; and
  • your account may be suspended or terminated in the event you breach these Terms (in particular, the Acceptable Use Guidelines below) and if we do, you agree not to create another account without our permission. Suspending or terminating your account will be in accordance with the Suspension and Termination section below.

Cerebria is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any Inputs or other information that you provide, except to the extent required by applicable law and as noted in our Privacy Policy.

Outputs & Tutor Content

Ownership

Tutor Content shall remain the exclusive property of Cerebria and its licensors.

Limited Licence to User

Subject to your compliance with these Terms, Cerebria grants you a limited, non-transferable, non-sublicensable, revocable licence to access and use Outputs solely within the Tutor for your personal, non-commercial educational purposes.

Prohibited Uses of Outputs

Except as expressly permitted in the previous clause "Limited Licence to User", you may not copy, download, export, transmit, publish, distribute, perform, display, modify, reverse engineer, train a model on, or otherwise use Outputs or Tutor Content outside the Tutor Platform.

Acceptable Use Policy

You agree that you will:

  • comply with all applicable laws, including without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, laws governing the content shared and other applicable laws and regulatory requirements;
  • provide us with accurate contact and identity information and keep it updated;
  • use your real name on your profile;
  • use the Services in a professional manner;

You agree that you will not:

  • use the Tutor or Tutor Content in any manner that violates any applicable law, regulation, or professional medical standard;
  • use the Tutor to provide or purport to provide medical advice, diagnosis, or treatment to patients; the Tutor is for educational purposes only;
  • misrepresent the source or accuracy of Outputs or hold them out as professional medical advice;
  • create a false identity, misrepresent your identity, or create a profile for anyone other than yourself, or use or attempt to use another's account (such as sharing log-in credentials);
  • submit or disclose any information that you do not have the consent to disclose (such as confidential or personal information of others, including identifiable patient information);
  • attempt to interfere with, compromise, or circumvent security or access controls of the Tutor;
  • copy, use, display or distribute any information obtained from the Services without our consent;
  • submit Inputs or generate Outputs that are unlawful, defamatory, harassing, hateful, discriminatory, obscene or infringing;
  • develop, support, or use any software, devices, scripts, robots or other means or processes (such as crawlers, browser plug-ins and add-on or any other technology) to scrape or copy the Services, including profiles and other data from the Services;
  • violate our intellectual property rights or those of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights;
  • submit anything that contains software viruses, worms, malware or any other malicious code;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code for the Services or underlying models;
  • rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services in any way without our consent;
  • interfere with the operation of, or place an unreasonable load on, the Services (e.g. spam, denial of service attack, viruses, manipulating algorithms);
  • engage in any unlawful, misleading, discriminatory, or fraudulent activity and/or
  • cause or encourage others to do any of the above.

Medical Disclaimer

The Tutor is made available for educational purposes only and does not constitute medical or professional advice. Cerebria is not a health-care provider. Non-healthcare professionals using this Tutor should always seek the advice of a qualified health-care professional with any questions regarding a medical condition. Never disregard professional advice or delay in seeking it because of Outputs produced by the Tutor.

Confidentiality

All uses and sharing of confidential personal information that do not have a lawful basis for processing will be treated as data breaches and reported in accordance with local guidelines and regulations. Our collection and use of personal data is described in our Privacy Policy.

Indemnification

You agree to indemnify, defend and hold harmless Cerebria, its affiliates, officers, directors, employees, agents, and licensors from and against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred or paid by Cerebria arising out of or relating to your Inputs, your use of the Tutor, or your violation of these Terms.

Disclaimers and Limits on Liability

No warranty

The Services are provided on an "as is" and "as available" basis. We do not give any representations or warranties that the Services will be available, uninterrupted, error-free, accurate, reliable, or that it will meet your specific requirements. Your experience and access to the Services may also vary depending on device and usage requirements, your own connection to the internet, and any applicable geographical restrictions.

Limits on liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEREBRIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (C) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

THESE LIMITATIONS OF LIABILITY DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY OR FOR FRAUD, GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, OR IN CASES OF NEGLIGENCE, WHERE A MATERIAL OBLIGATION HAS BEEN BREACHED. A MATERIAL OBLIGATION BEING AN OBLIGATION WHICH FORMS A PREREQUISITE TO OUR DELIVERY OF SERVICES AND ON WHICH YOU MAY REASONABLY RELY, BUT ONLY TO THE EXTENT THAT THE DAMAGES WERE DIRECTLY CAUSED BY THE BREACH AND WERE FORESEEABLE UPON CONCLUSION OF THIS CONTRACT AND TO THE EXTENT THAT THEY ARE TYPICAL IN THE CONTEXT OF THIS CONTRACT.

Suspension and Termination

Closing your account

You can terminate your agreement to these Terms at any time by closing your account. This can be done by sending an email requesting closure of your account to help@cerebria.ai.

We may suspend or terminate your access to the Tutor at any time, with or without notice, for conduct that we reasonably believe violates these Terms, harms other Users, or creates liability for us.

On termination (whether by you closing your account, or by us terminating your account), you will lose your access to the Services and any rights granted under these Terms.

Following closure/termination of your account we will hold any personal data previously provided in accordance with our Privacy Policy.

Governing Law and Venue

Nothing in this section will deprive you of any mandatory consumer protections under the law of the country in which you receive the Services, and where you have your habitual residence.

Complaints

If you have any complaints about the Services, an action we have taken against you or your account, or wish to report a misuse of our Services by other users, you can contact us at info@cerebria.ai.

These Terms and any contract and non-contractual disputes that arise out of them or the Services ("Disputes") shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction

You acknowledge and agree that the courts of England and Wales shall have exclusive jurisdiction to settle all Disputes.

General

Variation

We may vary or update these Terms from time to time (including the Privacy Policy, or the Services or features thereof). Whenever we make any material changes to these Terms, we will provide you with reasonable prior notice (unless our compliance with laws prevents us from doing so). This gives you the opportunity to review the changes before they become effective. If you do not wish to accept the changes, you may close your account (in accordance with section 7). If you do not close your account after we publish or notify you of the proposed changes, your continued use of the Services means that you are consenting to the updated Terms.

Who we are

You are entering into these Terms with Cerebria Ltd., a company incorporated under the laws of England and Wales with registered number 11495251 whose registered office is 2 Leman Street, London. E1W 9US (referred to as "we", "us", "our" in these Terms).

Entire agreement

These Terms make up the entire agreement between you and us for use of the Services and they supersede any prior agreements. Some of the Services that we offer may be governed by supplemental terms. Before you use any of these types of Services, you will be provided with an opportunity to agree to supplemental terms that will become part of our agreement with you.

Miscellaneous

If any part of the Terms is found to be unenforceable, the remaining sections of these Terms will remain in full force and effect.

If we fail to enforce any of these Terms, it will not be considered a waiver of our rights.

You will not transfer any of your rights or obligations under these Terms to anyone else without our prior consent. We may assign or transfer our rights and obligations under these Terms without restriction (e.g. in connection with any merger, acquisition, or otherwise).

These Terms are personal to your use and access of the Services and no third party is granted any rights under these Terms unless expressly stated to the contrary.

If you choose to provide suggestions and feedback to us on our Services, you agree that we can (but are not obliged to) use and share such feedback for any purpose without compensation to you.
